Welcome to Block9 LLC ("Block9," "we," "us," or "our"). These Terms of Service ("Terms") govern your use of our website, www.block9.app (the "Site"); the consulting, configuration, education, and workshop services we provide (collectively, the "Services"); and the merchandise, gift cards, informational materials, and affiliate products we make available. By accessing or using our Site, Services, merchandise, or materials, you agree to be bound by these Terms. If you do not agree, please do not use our offerings.
Scope. These Terms apply solely to www.block9.app and the consulting, education, workshop, merchandise, and affiliate offerings of Block9 LLC. Other Block9-affiliated products or applications operated under separate domains — including Agents by Block9 at agents.vb9.app — are governed by their own separate terms.
Please read Sections 1 and 3.1 carefully. They describe what Block9 does and, importantly, what Block9 does not do. Those limitations are fundamental to your agreement with us.
1. About Block9 LLC
Block9 LLC is a technology-focused organization providing consulting, configuration, education, and workshop services to individuals and businesses.
- Technical guidance on blockchain technologies, including Bitcoin and Stacks — wallet setup, node configuration, point-of-sale integration, and ideation around tokenization, NFTs, and decentralized applications.
- Customer relationship management (CRM) consulting, including system design, implementation, optimization, and administration.
- Artificial intelligence and automation consulting and configuration services.
- Educational resources, including workshops, slide decks, and live presentations.
- Merchandise (custom-made or resold), gift cards, and curated affiliate products.
Important Disclaimer. Block9 LLC provides technology consulting, configuration, and education services only. We are not financial advisors, investment advisors, broker-dealers, attorneys, accountants, or tax professionals. Nothing on www.block9.app, in our consultations, workshops, presentations, written materials, or other communications constitutes financial, investment, legal, regulatory, or tax advice. Block9 does not custody, transmit, hold, or have access to client funds, private keys, seed phrases, or wallet credentials at any time. Clients execute all on-chain transactions themselves. Once executed, blockchain transactions are immutable and cannot be reversed by Block9 under any circumstances.
2. Eligibility
To use our Services you must be at least 18 years old and capable of forming a legally binding agreement. You represent that you are not located in a comprehensively sanctioned jurisdiction, are not on any U.S. government denied-party or OFAC list, and will not use our Services to facilitate unlawful activity.
3. Scope of Services
Services include blockchain consulting and configuration; tokenization, NFT, and dApp consulting (see Section 5); CRM consulting; AI and automation consulting (managed Agents by Block9 services are governed by separate terms at agents.vb9.app); education and workshops; traditional software and websites; and products including resold goods, gift cards, and affiliate products. Services are delivered virtually (e.g., Google Meet) or onsite (e.g., the Orange Case). Work occurs within the booked time block.
In delivering Services we may reference, recommend, configure, or use third-party tools listed on our Resources page. We do not control those tools and are not responsible for losses arising from their use.
3.1 What Block9 does not do
- We do not provide financial, investment, legal, regulatory, or tax advice.
- We do not guarantee financial outcomes, profits, returns, or any specific result.
- We do not act as a broker, dealer, exchange, custodian, money services business, money transmitter, or investment advisor, and we do not accept, hold, or transmit cryptocurrency on behalf of third parties.
- We do not custody, hold, store, transmit, or have access to client funds, private keys, seed phrases, or wallet credentials at any time.
- We do not execute blockchain transactions on behalf of clients. Clients perform all on-chain actions themselves, including during guided sessions.
- We do not manufacture most products we sell. Custom merchandise is produced by Printify or comparable vendors.
- We do not ship, fulfill, warranty, or otherwise manage affiliate products.
- We do not control the data practices, security, model behavior, or on-chain behavior of recommended tools.
3.2 No obligation outside scope
Block9 is under no obligation to perform work outside the scope agreed at booking, in a written proposal, or in an engagement letter. Excess work is at Block9's sole discretion as a courtesy and does not establish an entitlement. If a client requests out-of-scope work, Block9 will notify the client; such work will not commence until the client has approved an estimate in writing and purchased additional hours or executed an addendum.
3.3 Post-engagement support
Unless expressly stated in a written proposal or engagement letter, Block9 has no obligation to provide post-engagement support after a session, time block, workshop, or engagement has concluded.
3.4 Scope, hours, and outcomes
Block9 will apply allocated hours to the highest-priority activities within the agreed scope, but does not warrant that any engagement will achieve completion of any particular initiative or any specific outcome. Where completing a requested objective would require hours beyond those allocated, the client may proceed with reduced scope, purchase additional hours, or wind down.
4. User responsibilities
You agree to provide accurate information; use our offerings only for lawful purposes; take sole responsibility for securing wallets, keys, seed phrases, accounts, and devices; acknowledge that blockchain transactions are irreversible and that you control all on-chain actions; and maintain reasonable security practices, including verifying recipient addresses before sending cryptocurrency.
4.1 Block9's commitment to your security
Block9 LLC will never: ask for your seed phrase, recovery phrase, or private keys, or any portion thereof; request credentials to third-party applications; ask you to send cryptocurrency to any address other than a Block9-provided wallet address tied to a confirmed Block9 invoice (verify any payment address through a separate channel before sending); or ask you to screen-share private keys, seed phrases, or sensitive financial information. If you receive any such request claiming to be from Block9, do not respond. Contact support@block9.app immediately.
5. Tokenization, NFT, and smart contract consulting
Block9 does not assess whether any token, NFT, asset, or arrangement constitutes a security or other regulated instrument. Clients are solely responsible for obtaining licensed legal, regulatory, securities, tax, and accounting advice. Block9 does not perform formal smart contract audits and is not responsible for exploits or unintended contract behavior. Block9 does not warrant liquidity, market acceptance, or regulatory approval of any concept developed in consultation.
6. Informational purpose only
Information on the Site and in our Services is for informational and educational purposes only. It is not a recommendation to buy, sell, or hold any security, token, or asset. Consult licensed professionals before making financial, legal, or tax decisions. Losses from user errors, device breaches, or third-party interactions are your responsibility.
7. Third-party services
Our operations involve third-party platforms including hosting and payment processors; wallet and hardware-wallet providers; explorers and analytics; DeFi protocols; artificial-intelligence providers (including xAI Corp., whose technology powers our AI assistant); developer platforms; CRM systems; Google Workspace; advertising and analytics platforms; Printify and other fulfillment vendors; and affiliate partners such as Amazon, SoloSatoshi LLC, Ryder, Ledger, and Based Trading Cards providers. Your use of them is at your own risk and subject to their terms. Agents by Block9 at agents.vb9.app has its own terms.
8. Fees and payment
Fees are set forth at the time of purchase or in a written engagement document. Payments may be processed via third-party providers (including Stripe, Apple Pay, and PayPal) or by peer-to-peer Bitcoin to a Block9-provided wallet address. You are solely responsible for sending the correct amount, to the correct address, on the correct network, with sufficient fees. Cryptocurrency transactions are irreversible. Refunds, where applicable, are calculated and issued in U.S. dollars per the Refund & Rescheduling Policy. Gift cards expire five (5) years from purchase, or such longer period as applicable law requires. You agree not to initiate chargebacks for services rendered or for non-refundable items. For larger engagements, a written proposal and acceptance letter constitute the engagement agreement and control in the event of conflict with these Terms for that engagement.
9. Shipping and delivery
Merchandise, when offered, is shipped via Printify vendors or, in some cases, directly from Block9. Estimated delivery is generally 2 to 4 weeks. Block9 currently ships merchandise within the United States only. Title and risk of loss pass upon delivery. If we cannot ship within the stated timeframe, or within thirty (30) days where none was stated, we will notify you and offer cancellation for a full refund. See the Shipping Policy.
10. Rescheduling
Virtual sessions, workshops, and a la carte time blocks: 48 hours' calendar notice (U.S. Central Time). Onsite engagements including the Orange Case: two (2) weeks' calendar notice. Requests in writing to support@block9.app, subject to availability. Late cancellations and no-shows are not eligible for rescheduling or refunds.
11. Intellectual property
All Site content, workshop materials, and educational resources are the property of Block9 LLC or our licensors. You may use them for personal, non-commercial purposes related to your engagement. You may not reproduce, distribute, record, or create derivative works without prior written permission. Workshop attendance grants a personal, non-transferable license to registered attendees only. Client-specific deliverables transfer to the client upon full payment, excluding Block9's pre-existing IP, templates, methodologies, and know-how.
12. Limitation of liability
To the fullest extent permitted by law, Block9 LLC and its affiliates, officers, directors, employees, contractors, and agents (the "Block9 Parties") will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any lost profits, lost data, lost goodwill, or business interruption, arising out of your use of the Site, Services, merchandise, or materials, even if advised of the possibility.
Aggregate Cap. The Block9 Parties' total aggregate liability will not exceed the lesser of (a) the total amount you paid Block9 in the twelve (12) months preceding the event giving rise to the claim, or (b) ten thousand U.S. dollars ($10,000.00); provided that this cap shall in no event be less than one hundred U.S. dollars ($100.00). A different cap in an executed proposal or engagement letter controls for that engagement.
Nothing in these Terms excludes liability for gross negligence, willful misconduct, fraud, death or personal injury caused by negligence, or any liability that cannot lawfully be excluded. Subject to those exceptions, Block9 has no liability for user errors (wrong addresses, lost keys, sharing credentials); blockchain-inherent risks; third-party platform behavior; regulatory developments; market volatility or financial outcomes; or actions taken after an engagement contrary to guidance, outside scope, or without further professional advice.
13. Disclaimer of warranties
The Site, Services, merchandise, gift cards, and materials are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, or availability. Blockchain and AI technologies are complex and rapidly evolving. Some jurisdictions do not allow certain exclusions; they apply to the fullest extent allowed.
14. Indemnification
You agree to defend, indemnify, and hold harmless the Block9 Parties from claims arising out of your misuse of the Site or Services, your violation of these Terms or any law, your infringement of any third-party right, or any on-chain action you take during or after engagement with Block9.
15. Force majeure
Block9 will not be liable for delay or failure caused by events beyond our reasonable control, including natural disaster, pandemic, war, governmental action, internet or utility outages, blockchain network failures, exchange or AI-provider outages, and other force majeure.
16. Termination
We may suspend or terminate access if you violate these Terms, engage in fraudulent or abusive conduct, or where termination is necessary to protect Block9, its clients, or the public. You may stop using our offerings at any time. Provisions that by their nature should survive — including Sections 3.2–3.4, 5, 6, 8, and 11–20 — will survive.
17. Governing law and dispute resolution
These Terms are governed by the laws of the State of Missouri, United States, without regard to conflict-of-laws principles. The state and federal courts located in Jefferson County, Missouri have exclusive jurisdiction and venue, and you consent to such jurisdiction and venue.
Class Action Waiver. You and Block9 each agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site or Services must be brought in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.
18. Changes
We may update these Terms from time to time. The current version is posted on this Site with the Effective Date and Last Updated dates. Continued use after a change constitutes acceptance of the updated Terms.
19. Miscellaneous
These Terms, together with the Privacy Policy, Refund & Rescheduling Policy, Shipping Policy, Blockchain Addendum, and any executed proposal or engagement letter, constitute the entire agreement between you and Block9 regarding the Site and Services. If any provision is found unenforceable, the remainder remains in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. Block9 may assign them in connection with a merger, acquisition, or sale of assets.
